The Superintendency of Banks of Panama (SBP), through Resolution BAN-R-2025-00505 published in Official Gazette No. 30403 of November 12, 2025, authorized The Bank of Nova Scotia, Panama Branch, and Banco Davivienda (Panamá), S.A. to carry out the transfer of assets and liabilities forming part of Scotiabank's banking business in the country, in favor of Davivienda, in accordance with the terms of the proposed transaction.

The transaction represents a consolidation movement in Panama's banking market, transferring the portfolio and obligations of an international institution to a regionally capitalized bank with a local presence. The process is conducted under the authorization and supervision of the regulator.

For clients and counterparties, this type of orderly transfer offers continuity of services within the prudential framework. Nexo Capital will follow the execution of the transaction and its effects on the competitive landscape of the sector.
